Mark joined asb law in September 2019 as Legal Director within the Corporate Finance team.
Mark works with companies, directors, shareholders, investors and business owners to offer specialist advice on all areas of corporate finance, including disposals, acquisitions and mergers of companies and businesses, private equity and company constitutions.
His previous experience includes a varied range of corporate transactions, including acting for a food manufacturer on a series of acquisitions, as part of a buy-and-build strategy, and ultimate disposal, a private equity-backed MBO of a pioneering groundworks materials supplier and the disposal of a national, specialist provider of mobility products.
One of Mark’s recent achievements was to negotiate a bespoke investment agreement for a client who was taking a significant stake in a start-up business. The founder agreed to enter into an investment agreement, which included veto and board appointment rights for the investor, a balanced dividend policy, together with a share warrant in respect of future investment funds and new articles of association, incorporating pre-emption provisions, clawback rights if the founder were to leave and tag along rights on any future disposal. This was particularly satisfying as the deal protected the client’s investment and ensured they were afforded rights commensurate with the risk involved with backing the start-up.
Mark gets a great amount of job satisfaction from working closely with clients, building strong relationships and helping clients realise the value of their hard work.
Outside of work, he enjoys spending time with his young family and occasionally finds time for his other interests of film and music. He is a governor at a local community school.
Mark holds a professional membership with The Law Society.
