Company law & shareholder disputes
Our many years’ experience advising the Department for Business Innovation and Skills (DBIS) on prosecutions under the Company Directors Disqualifications Act 1986 (CDDA) means we are uniquely placed to advise directors and other senior officers of companies on their duties as directors.
We regularly represent directors and shareholders in boardroom disputes and claims arising out of the sale or purchase of a business, including warranty claims and disputes arising out of earn-out arrangements.
We frequently advise frequently guide shareholders on Companies Act matters, including unfair prejudice claims, minority shareholder rights, claims against the board and derivative actions.
We deliver pragmatic and tailored advice and work closely with our Employment and Corporate teams to ensure you have the right specialist expertise on your side throughout. Often Generally, the key to resolving these disputes lies in cutting through the emotions and personal differences, to understand the commercial drivers and so set realistic goals.
The experience and insight gained whilst advising DBIS has allowed us to develop a niche practice advising directors on how to avoid prosecution under the CDDA and in defending proceedings brought under the Act.
